This agreement governs your use of and access to the Chatofy platform, including our primary website (www.chatofy.com), WhatsApp automation tools, Google Sheets integrations, and all associated services (collectively referred to as the "Platform" or "Services").
By accessing or using our Platform, you explicitly agree to these Terms. If you do not accept these provisions, you must immediately discontinue your use of our Services.
We maintain the right to revise or modify these Terms at any time without advance notice. Any changes become effective the moment they are published on the Platform. Your continued use of our Services after such updates indicates your full acceptance of the revised Terms. We strongly encourage you to review this page periodically.
2. Eligibility and Account Registration
2.1 Age Requirements
You must be a minimum of 18 years old to access the Platform. By creating an account, you affirm that you are of legal age to enter into a binding contractual agreement.
2.2 Corporate Usage
If you utilize our Platform on behalf of an organization or business entity, you guarantee that you hold the legal authority to bind that entity to these Terms.
2.3 Account Security and Responsibility
As an account holder, you bear full responsibility for:
- Safeguarding your login credentials and passwords.
- Every action and activity that occurs under your account profile.
- Promptly notifying our support team of any suspected unauthorized access.
- Keeping your contact and profile information accurate and current.
3. Description of Services
Chatofy delivers comprehensive WhatsApp automation and third-party integration services. Our core offerings include, but are not limited to:
- WhatsApp Business API connectivity and automation.
- Google Sheets synchronization for seamless data management.
- Automated messaging workflows and shared inbox management.
- Audience segmentation and contact organization.
- Detailed analytics and performance tracking.
- Visual, flow-based chatbot builders.
- AI-driven conversation handling.
Important Notice:
Our features heavily depend on external third-party infrastructure, including the WhatsApp Business API and Google APIs. We do not own or control these external networks, and we cannot be held liable for their uptime, technical changes, or modifications to their respective terms of service.
4. User Obligations and Prohibited Conduct
4.1 Acceptable Use Guidelines
You agree to utilize the Platform strictly for lawful business purposes. You are strictly prohibited from:
- Violating any local, state, national, or international laws.
- Distributing spam, unsolicited promotional material, or participating in harassment.
- Transmitting content that is illegal, defamatory, abusive, threatening, obscene, or highly objectionable.
- Falsifying your identity or misrepresenting your corporate affiliation.
- Executing actions that compromise the structural integrity, security, or performance of the Platform.
- Attempting to bypass security protocols to access restricted system areas.
- Uploading malicious software, trojans, viruses, or destructive code.
- Scraping data, cloning, or reverse-engineering our software architecture.
- Breaching WhatsApp's Commerce Policy or global Terms of Service.
- Messaging individuals who have not explicitly opted-in to receive communications from your business.
- Ignoring privacy legislation such as the GDPR, CCPA, or applicable anti-spam laws.
- Facilitating illegal operations, including but not limited to financial fraud or money laundering.
4.2 WhatsApp Policy Compliance
You recognize that you carry the sole burden of maintaining compliance with Meta's WhatsApp Business and Commerce policies. Any infractions may trigger:
- The immediate suspension or permanent ban of your WhatsApp Business account by Meta.
- The instant termination of your Chatofy access without any refund eligibility.
- Potential civil or legal action from Meta or aggrieved third parties.
We disclaim all liability for any damages or business interruptions resulting from your failure to comply with WhatsApp's official policies.
5. Data Security, Privacy, and Responsibilities
5.1 Platform Security Measures
We deploy industry-standard, commercially reasonable security protocols to safeguard the information processed through our systems. However, as no digital environment is entirely impenetrable, we cannot absolutely guarantee that data breaches will never occur.
5.2 Your Data Obligations
You bear the exclusive responsibility for:
- Securing proper, documented consent from end-users prior to initiating contact.
- Strictly adhering to relevant data protection frameworks (e.g., GDPR, CCPA, DPDPA).
- Creating and storing independent backups of your critical business data.
- Ensuring your own network infrastructure and devices remain secure.
- Any unauthorized account access that stems from compromised local credentials.
- Verifying that uploaded files or data do not infringe on intellectual property rights.
5.3 Data Processing Authorization
By leveraging Chatofy, you grant us permission to access and process necessary data from your linked integrations (such as Google Sheets and WhatsApp) to effectively deliver our Services. All data handling is strictly regulated by our official Privacy Policy.
5.4 Third-Party Processing
We may partner with specialized third-party vendors for essential operations like payment processing, cloud hosting, and analytics. We do not assume liability for the independent security practices of these external providers.
Data Breach Disclaimer: Should an unauthorized intrusion or data compromise affect our infrastructure, we will take reasonable steps to issue legal notifications. However, we assume no financial liability for damages, reputational loss, or recovery costs stemming from security incidents, data corruption, or unauthorized access, regardless of origin. Utilizing the Platform signifies your acceptance of these inherent risks.
6. Third-Party Integrations
6.1 WhatsApp Business API
Our infrastructure interfaces with the WhatsApp Business API, a property of Meta Platforms, Inc. You acknowledge that:
- Your messaging activity via our software remains fully subject to WhatsApp's overarching Terms of Service.
- We possess no leverage over WhatsApp's pricing tiers, operational availability, or policy shifts.
- Meta retains the right to alter its API functionality or fee structure abruptly.
- We are completely indemnified against disruptions or account terminations initiated by WhatsApp.
6.2 Google Services
Chatofy leverages Google APIs to authenticate and synchronize with Google Sheets. By enabling these features, you accept:
- Google's respective Terms of Service and comprehensive Privacy Policy.
- Our restricted, structured usage of Google user data as dictated by the Google API Services User Data Policy.
- The exact authorization scopes you approve during the OAuth connection phase.
We utilize Google data exclusively to facilitate our promised features. We strictly prohibit:
- Selling or transferring your Google data to external brokers.
- Mining Google data for advertising or retargeting purposes.
- Allowing human personnel to read your data unless explicitly authorized by you for troubleshooting, security audits, or legal mandates.
6.3 External Services Disclaimer
All integrated third-party services are supplied strictly on an "As-Is" foundation. We offer no guarantees regarding their performance and renounce all liability for operational failures resulting from external service dependencies.
7. Billing and Financial Terms
7.1 Subscription Commitments
Unlocking premium Platform functionalities requires the payment of subscription dues. By activating a subscription, you commit to fulfilling all specified charges outlined on our public pricing directory.
7.2 Renewals and Automated Billing
- Subscriptions are processed in advance on a recurring monthly or annual schedule.
- Your plan will automatically renew unless formally canceled before the upcoming billing cycle date.
- You grant us explicit authorization to charge your designated payment instrument.
- We are entirely absolved of responsibility for overdrafts or secondary fees applied by your financial institution.
7.3 Pricing Modifications
We reserve the absolute right to adjust our service pricing. Any monetary adjustments will only be applied to future billing cycles following appropriate user notification.
7.4 Tax Liabilities
Quoted subscription fees generally exclude localized taxes (such as VAT, GST, or regional sales taxes). You are fully liable for discharging any applicable tax obligations associated with your account.
7.5 Refund Stance
All processed payments are considered final and non-refundable unless explicitly stated within a separate Refund Policy. We categorically deny refunds for:
- Mid-cycle cancellations or partial usage periods.
- Accumulated, unspent message credits.
- Downtime strictly caused by third-party vendor outages.
- Accounts terminated due to Terms of Service violations.
7.6 Chargeback Policy
Initiating a forced payment dispute or chargeback without prior good-faith communication with our support team grants us the right to immediately terminate your workspace and explore legal restitution.
8. Intellectual Property
8.1 Proprietary Assets
The Chatofy ecosystem—encompassing its underlying code, visual interfaces, corporate branding, trademarks, and multimedia assets—remains the exclusive property of Chatofy and is shielded by rigorous international intellectual property statutes.
8.2 License of Use
Conditioned upon your strict compliance with this agreement, we award you a constrained, revocable, non-transferable right to access and utilize the Platform for approved business operations.
8.3 User-Generated Content
You maintain total ownership over the proprietary media and text you distribute through our system ("Your Content"). However, processing this data requires you to grant us a worldwide, royalty-free license to temporarily store, transmit, and render Your Content purely for the sake of delivering the requested service.
8.4 Copyright Takedowns (DMCA)
We heavily enforce intellectual property rights. If you suspect that material hosted on our Platform infringes upon valid copyrights, you must file a detailed report to legal@chatofy.com.
9. Liability Limitations and Disclaimers
9.1 "As-Is" Provision
The platform is delivered entirely on an "As-Is" and "As-Available" methodology. We categorically disclaim all implied warranties, including but not limited to merchantability, exact fitness for niche purposes, non-infringement, or assurances that the system will run devoid of minor bugs or occasional downtime.
9.2 Uptime Constraints
We do not guarantee uninterrupted system access. We legally retain the right to restrict, modify, or completely sunset Platform features without advanced warning.
9.3 Financial Liability Cap
To the fullest extent authorized by jurisdiction, Chatofy (including its executives, staff, and partners) shall under no circumstances be held financially liable for indirect, punitive, special, or consequential damages. This includes massive revenue losses, data wiping, or fallout from third-party vendor crashes. In absolute terms, our maximum aggregate liability to you for any cumulative incidents shall never surpass the total subscription amount you paid us within the preceding twelve (12) months, or $100 USD—whichever threshold is lower.
9.4 Force Majeure
We are immune to liability for service failures caused by uncontrollable global phenomena, including natural disasters, acts of war, pandemics, civic unrest, catastrophic utility outages, or severe labor shortages.
10. Indemnification
You formally agree to shield, defend, and indemnify Chatofy and its personnel from any legal claims, financial penalties, or attorney fees that arise directly or indirectly from:
- Your commercial utilization or severe misuse of our automation tools.
- Your deliberate breach of these terms or local legal codes.
- Material you upload that violates a third-party's rights.
- Infractions strictly tied to Meta's or Google's external policies.
- Unauthorized access stemming from poor credential management on your end.
11. Suspension and Account Closure
11.1 User-Initiated Closure
You are free to close your workspace anytime via the billing dashboard. The closure takes full effect at the conclusion of your already-paid billing period.
11.2 Platform-Initiated Closure
We possess the authority to instantly revoke your access without warning if we detect: severe policy violations, fraudulent signaling, extended invoice delinquency, massive system abuse, or direct infractions of WhatsApp's commerce rules.
11.3 Post-Termination Data Handling
Upon closure, your operational rights dissolve immediately. We reserve the right to retain orphaned account data for up to thirty (30) days for structural cleanup, after which it is irreversibly purged. We are entirely free from any obligation to furnish data exports post-termination.
12. Legal Dispute Framework
12.1 Governing Law
This agreement operates purely under the legal frameworks and corporate laws of India, neutralizing any contradicting international legal principles.
12.2 Conflict Notification
Prior to launching formal litigation, you are required to email a detailed dispute brief to legal@chatofy.com. Both parties agree to a 30-day informal mediation window.
12.3 Binding Arbitration and Class-Action Waiver
If informal mediation fails, the conflict must be settled via binding arbitration under the Arbitration and Conciliation Act, 1996, hosted locally in New Delhi, India. You waive your absolute right to participate in consolidated or class-action lawsuits against Chatofy.
13. Miscellaneous Provisions
- Entire Agreement: These terms, coupled with our Privacy Document, form the absolute and entire legal agreement between you and Chatofy.
- Severability: If a judge deems any single clause here invalid, the remaining clauses immediately survive and stay in full effect.
- Waiver: If we delay enforcing a specific rule today, it does not mean we waive our right to enforce it tomorrow.
- Assignment: You cannot transfer your account ownership to another company without our written blessing.
